On September 7th, Capital B acquired 376 Bitcoin for €25.3 million, increasing the Bitcoin held under its treasury strategy to 3,521 Bitcoin.

The latest purchase was completed at an average price of €67,182 per Bitcoin. 

Capital B reported an aggregate acquisition cost of €309.4 million for its treasury holdings, equivalent to an average of €87,878 per Bitcoin.

According to the company’s disclosure, the market value of those holdings was approximately €240.8 million based on the Bitcoin closing price used for the announcement.

The purchase followed two equity-financing programs. Capital B raised €1.44 million by issuing approximately 2.8 million shares to funds managed by TOBAM at an average price of €0.51 per share. 

It also completed private placements totaling €28.7 million with institutional investors, including Adam Back and TOBAM.

The private placements involved 49.4 million shares priced at €0.58 each. Four five-year warrants were attached to every share. 

Capital B stated that the exercise of all warrants issued in the placements would generate up to €185.3 million in additional capital. 

Any warrant exercises would also increase the company’s outstanding share count.

Following the transactions, Capital B reported 382.5 million ordinary shares outstanding. 

Adam Back held 17.64% of the company on an ordinary-share basis, while Blockstream Capital Partners held 18.77%, and TOBAM held 3.16%.

Capital B also reported a year-to-date “BTC Yield” of 2.17% and a quarter-to-date figure of 0.31%. 

The company defines this indicator as the percentage change in the amount of Bitcoin held per fully diluted share. It reported 736.6 satoshis per diluted share as of September 7th.

The measure is specific to Capital B’s treasury strategy. It is not equivalent to an investment yield, operating profit, or shareholder return, and it does not account for all liabilities or other factors that may affect the company’s financial position or share price.

In addition to its 3,521 BTC treasury reserve, Capital B reported holding 61 Bitcoin for operational purposes. 

Those coins are maintained separately and are excluded from the company’s Bitcoin-related performance indicators.
